This website is operated by The Workshop Guide LLC, doing business as Arizona Workshop Directory (“we,” “us,” and “our”).

By accessing or using our website directory (the “Platform”), you agree to be bound by the following terms and conditions (“Terms of Use,” “Terms”), including those additional terms, conditions, and policies referenced herein and/or available on the Platform. We provide our Platform to any individual or organization accessing the Platform (“User”) subject to these Terms.

Your use of the Platform signifies that you agree to these Terms. If you are using the Platform on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have authority to bind that organization to these Terms. If you do not or are unable to agree to all the terms and conditions of these Terms, do not use our Platform or any of our services.

You can review the most current version of the Terms at any time on this page. We reserve the right to update, change, or replace any part of these Terms at any time, and without notice. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Platform following the posting of any changes constitutes acceptance of those changes.

1. General Conditions

By agreeing to these Terms, you represent and warrant that you are at least eighteen (18) years of age, or the age of majority in your state of residence, and that you have the legal capacity to enter into these Terms. The Platform is intended for adults and is not directed to children under the age of 13, and we do not knowingly collect personal information from children under 13. A minor may access the Platform only under the involvement, consent, and supervision of a parent or legal guardian who agrees to these Terms on the minor's behalf and remains responsible for the minor's use of the Platform.

A breach or violation of any of these Terms will result in the immediate termination of your access to the Platform.

We reserve the right to refuse service to anyone for any reason at any time.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform, use of the Platform, access to the Platform, or any contact on the Platform through which the service is provided, without express written permission from us.

2. About Arizona Workshop Directory

2.1 Arizona Workshop Directory provides an online directory and informational website that lists third-party workshop providers (“Providers”) who offer interactive or instructional activities (collectively, “Workshops”). The Platform is provided solely for the purpose of facilitating the discovery of such Providers.

2.2 Independent Relationship; Disclaimer of Agency. Arizona Workshop Directory is not a party to any transaction, agreement, or arrangement between a User and a Provider. User acknowledges and agrees that:

  • No Agency: No agency, partnership, joint venture, or employee-employer relationship is intended or created by these Terms or by the use of the Platform;

  • No Transactional Involvement: Arizona Workshop Directory is not a booking platform, payment processor, or retail agent. Arizona Workshop Directory does not schedule Workshops, cancel Workshops, quote pricing, collect fees, or facilitate refunds;

  • Independent Parties: Providers are independent third parties and are not agents, contractors, or employees of Arizona Workshop Directory;

  • Liability Limitation: Arizona Workshop Directory is not responsible or liable for any actions, errors, omissions, representations, warranties, breaches, negligence, or misconduct of Providers, nor for any damages, personal injury, or other loss or expense arising from Workshops held by Providers.

2.3 When you book a Workshop, the contract for that Workshop is concluded exclusively and directly between the User and the Provider. The User is buying directly from the Provider, who is also responsible for providing the Workshop.

3. Accuracy, Completeness, and Timeliness of Information

We are not responsible if information made available on the Platform is not accurate, complete, or current. The material on the Platform is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting the Provider’s website or place of business. Any reliance on the material on the Platform is at your own risk.

We undertake no obligation to update, amend, or clarify information on the Platform, except as required by law. No specified update or refresh date applied on the Platform should be taken to indicate that all information on the Platform has been modified or updated. We reserve the right to modify the contents of the Platform at any time, but we have no obligation to update any information on the Platform.

4. Provider Content

All descriptions, contact information, and photographs displayed on the Platform are provided by, or created for and approved by, the respective Providers. Arizona Workshop Directory may create or assist in creating certain content (such as photographs or video); any such content so created remains owned by Arizona Workshop Directory and is licensed for use as set forth in our agreements with the Provider. In all cases, the Provider remains the ultimate authorizing entity for its listing and is responsible for ensuring its content is accurate and for delivering its Workshops as described. Arizona Workshop Directory does not verify or guarantee the accuracy, safety, or legality of any information approved by Providers and has no direct influence on such content. User acknowledges that any reliance on such content is at the User’s own risk.

5. Third-Party Links

The Platform contains links to external sites and provides contact forms to facilitate communication with third-party Providers. These third-party links direct you to websites that are not affiliated with us. Arizona Workshop Directory has no control over, and assumes no responsibility for, the content, practices, or policies of any third-party websites or services. Use of such links is at the User’s own risk.

We are not responsible for examining or evaluating the content or accuracy of third-party materials, and we do not warrant and will not have any liability or responsibility for any third-party materials, websites, products, or services. We are not liable for any harm or damage related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any Provider or third-party websites. Please review carefully the Provider’s policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding a Provider’s services should be directed to the Provider.

The Platform is integrated with various third-party services, applications, and sites that may make available to you their content and products. We do not control these third parties and are not responsible for those sites, services, content, or products. These third parties may have their own terms and policies, and your use of them will be governed by those terms and policies. For example, some areas of our Platform feature mapping services provided by Google Maps and Google Earth. When you use these mapping services on the Platform, you agree to be bound by the Google Maps/Google Earth Additional Terms of Service.

You do not have a license to use the intellectual property of third parties merely by way of your access to our Platform.

6. Disclaimer of Vetting and Location Safety

User acknowledges and agrees to the following regarding the vetting of Providers and the safety of Workshop locations:

  • No Vetting: Arizona Workshop Directory does not perform background checks, identity verification, professional credentialing, or any other form of vetting on Providers or their personnel;

  • No Site Inspections: Arizona Workshop Directory does not visit, inspect, or verify the safety, suitability, or legality of any physical location where a Workshop occurs; and

  • Assumption of Risk: The decision to interact with a Provider or enter a private or non-commercial location for a Workshop is made solely by the User. User assumes all risks associated with physical entry into these locations and all interactions with Providers and other third parties.

7. User Comments and Other Submissions

We offer Users the opportunity to send a message to a Provider through our Platform. You understand that your message may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

We are and shall be under no obligation to ensure a Provider responds to your questions or comments sent through the Platform. We act only as a delivery mechanism for these messages, do not monitor or use their contents, and are under no obligation to keep copies of User messages or to provide such copies. Any retention of message data occurs only as necessary to operate the Platform and is governed by our Privacy Policy.

We may, but have no obligation to, monitor, edit, or remove content that we determine in our sole discretion is unlawful, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or violates any party’s intellectual property or these Terms.

You agree that your messages will not violate any right of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your messages will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Platform or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any messages. You are solely responsible for any messages you make and their accuracy. We take no responsibility and assume no liability for any messages sent by you or any third party.

8. Personal Information

Your submission of personal information through the Platform is governed by our Privacy Policy. If you choose to subscribe to our email updates or newsletters, you consent to receive marketing and informational emails from Arizona Workshop Directory about the Platform, and you may withdraw that consent at any time by using the unsubscribe link in any email. Our Privacy Policy can be viewed at privacy policy.

9. Prohibited Uses

You may not use our Platform for any illegal or unauthorized purpose, nor may you, in the use of the Platform, violate any laws in your jurisdiction (including, but not limited to, copyright laws).

In addition to other prohibitions as set forth in these Terms, you are prohibited from using the Platform or its content:

(a) for any unlawful purpose;

(b) to solicit others to perform or participate in any unlawful acts;

(c) to violate any international, federal, state, or local regulations, rules, laws, or ordinances;

(d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

(e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on race, ethnicity, national origin, religion, gender, age, disability, or sexual orientation;

(f) to submit false or misleading information;

(g) to upload or transmit worms, viruses, Trojan horses, or any other type of malicious or destructive code that will or may be used in any way that will affect the functionality or operation of the Platform, related websites, other websites, or the Internet;

(h) to collect or track the personal information of others;

(i) to spam, phish, pharm, pretext, spider, crawl, or scrape;

(j) for any obscene or immoral purpose;

(k) to interfere with or circumvent the security features of the Platform, related websites, other websites, or the Internet;

(l) to use any robot, spider, scraper, or other automated means to access the Platform or extract data for any purpose without our express written permission;

(m) to decompile, reverse engineer, disassemble, or attempt to derive the source code, structure, sequence, or organization of the Platform;

(n) to use any contact information provided on the Platform to send “spam,” commercial solicitations, or unauthorized marketing materials to Providers;

(o) to promote, link to, or direct Users to any competing workshop directory, listing service, marketplace, or aggregator; or

(p) to rent, lease, resell, distribute, or use the Platform for commercial purposes that are not contemplated by these Terms.

We reserve the right to terminate your use of the Platform or any related website for violating any of the prohibited uses.

10. Warranty Disclaimer

OUR PLATFORM IS PROVIDED TO YOU “AS IS” AND ON AN “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, INCLUDING BUT NOT LIMITED TO STATUTORY WARRANTIES, AND THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE ALSO DISCLAIM ANY WARRANTIES REGARDING (A) THE RELIABILITY, TIMELINESS, ACCURACY, AND PERFORMANCE OF OUR PLATFORM; (B) ANY INFORMATION, ADVICE, SERVICES, OR GOODS OBTAINED THROUGH OR ADVERTISED ON OUR PLATFORM OR BY US, AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH ANY LINKS TO OTHER WEBSITES OR RESOURCES PROVIDED THROUGH OUR PLATFORM; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE PLATFORM; (D) THE CORRECTION OF ANY ERRORS IN THE PLATFORM; (E) ANY MATERIAL OR DATA OBTAINED THROUGH THE USE OF OUR PLATFORM; AND (F) DEALINGS WITH OR AS THE RESULT OF THE PRESENCE OF MARKETING PARTNERS OR OTHER THIRD PARTIES ON OR LOCATED THROUGH OUR PLATFORM.

YOU MAY HAVE ADDITIONAL RIGHTS UNDER APPLICABLE LAW. TO THE EXTENT PERMITTED BY SUCH LAW, YOU AGREE THAT THE DURATION OF ANY SUCH ADDITIONAL RIGHTS WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH LAW.

YOU AGREE THAT FROM TIME TO TIME WE MAY REMOVE THE PLATFORM FOR INDEFINITE PERIODS OR CANCEL THE PLATFORM AT ANY TIME, WITHOUT NOTICE TO YOU. WE RESERVE THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE THE PLATFORM AT ANY TIME, WITH OR WITHOUT NOTICE. WE SHALL NOT BE LIABLE FOR ANY MODIFICATION, SUSPENSION, OR DISCONTINUANCE OF THE PLATFORM.

11. Release

To the fullest extent permitted by applicable law, you agree to release Arizona Workshop Directory (and its officers, directors, agents, and employees) from claims, demands, and damages (direct and consequential) (“Claims”) arising out of or in any way connected with any transaction with a Provider, your interactions with other participants at a Workshop, or otherwise in connection with a Workshop.

You acknowledge that you may hereafter discover facts in addition to or different from those you now know or believe to be true with respect to the subject matter of this release, but it is your intention to fully, finally, and forever settle and release any and all Claims, known or unknown, suspected or unsuspected, which now exist, may exist, or have previously existed in connection with a Workshop or a Provider.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT IN NO EVENT SHALL ARIZONA WORKSHOP DIRECTORY, OUR DIRECTORS, OFFICERS, AND EMPLOYEES BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, LOSS OF GOODWILL, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH:

(A) OUR PLATFORM, THESE TERMS, OR THE INABILITY TO USE OUR PLATFORM (HOWEVER ARISING, INCLUDING OUR NEGLIGENCE);

(B) STATEMENTS OR CONDUCT OF, OR TRANSACTIONS WITH, ANY MEMBER OR THIRD PARTY ON THE PLATFORM;

(C) YOUR USE OF OUR PLATFORM OR TRANSPORTATION TO OR FROM WORKSHOPS, ATTENDANCE AT WORKSHOPS, PARTICIPATION IN OR EXCLUSION FROM WORKSHOPS, AND THE ACTIONS OF YOU OR OTHERS AT WORKSHOPS; OR

(D) ANY OTHER MATTER RELATING TO THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO ONE HUNDRED DOLLARS ($100.00).

The limitations set forth above in this Section 12 will not limit or exclude liability for our gross negligence, fraud, or intentional, malicious, or reckless misconduct.

13. Indemnification

You agree to indemnify, defend, and hold harmless Arizona Workshop Directory and our directors, officers, employees, and agents from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

Arizona Workshop Directory may, at its own election and expense, participate in the defense of any claim subject to indemnification with counsel of its own choosing. You shall not settle any such claim in a manner that imposes any obligation or liability on Arizona Workshop Directory, requires any admission of fault by Arizona Workshop Directory, or restricts Arizona Workshop Directory’s future conduct, without Arizona Workshop Directory’s prior written consent. Your indemnification obligations survive the termination of these Terms.

14. Enforcement and Arbitration

Any dispute, controversy, or claim arising out of or related to these Terms, the use of the Platform, or any Workshops discovered through the Platform, including but not limited to the materials displayed on the Platform, and any alleged violation of any federal, state, or local statute, regulation, common law, or public policy, whether sounding in contract, tort, or statute, shall be resolved in the following order:

(a) Negotiation: The Parties agree to negotiate in good faith to resolve the dispute. Each Party agrees to include in the negotiations participants who have the ability and authority to settle the dispute. If, after thirty (30) days, the dispute remains unresolved, then the Parties agree to binding arbitration as set forth below.

(b) Binding Arbitration: Subject to subsection (d), the dispute will be submitted to and decided by binding arbitration. Arbitration shall be governed by the Federal Arbitration Act (FAA), administered by the American Arbitration Association (AAA), and held in Maricopa County, Arizona, before a single arbitrator in accordance with the AAA’s applicable rules. Any arbitral award shall be final and binding upon the Parties. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

(c) Waiver of Class Action: You agree that any arbitration or proceeding shall be limited to the dispute between Arizona Workshop Directory and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class-action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

(d) Exception for Injunctive Relief: Notwithstanding the agreement to arbitrate, Arizona Workshop Directory reserves the right to seek preliminary injunctive relief or a temporary restraining order in a court of competent jurisdiction in Maricopa County, Arizona, to restrain any actual or threatened infringement of its intellectual property rights or unauthorized use of the Platform.

15. Governing Law and Venue

Except for matters subject to arbitration as set forth in Section 14, these Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. The Parties agree that the courts located in Maricopa County, Arizona shall have exclusive jurisdiction over any disputes or controversies between the Parties in connection with these Terms, and all such disputes shall be brought exclusively in the courts of Maricopa County, Arizona.

16. Entire Understanding, No Waiver, and Severability

These Terms, together with our Privacy Policy, constitute the entire understanding between the Parties with respect to the subject matter hereof, and supersede all prior oral or written understandings or agreements relating thereto, and shall not be modified, amended, or terminated except as provided in these Terms.

The failure by either Party to object to any breach of these Terms, or to enforce at any time or for any period any provision of these Terms, shall not constitute a waiver of such provision or of such Party’s rights or remedies, or consent to the modification of these Terms. No waiver shall be effective unless it is in writing and signed by the Party charged with it.

If any term, covenant, or provision contained in these Terms shall be held invalid or illegal, such invalidity or illegality shall not impair, invalidate, or nullify the other provisions of these Terms, and such invalid or illegal provision shall be enforced to the fullest extent permitted by law.

17. Assignment

These Terms are personal to the Parties, and the User shall not assign or transfer these Terms, in whole or in part, to any third party without the prior written consent of Arizona Workshop Directory. These Terms shall be binding upon, and shall inure to the benefit of, each of the Parties and their respective permitted successors and assigns. Notwithstanding the foregoing, Arizona Workshop Directory may assign these Terms, in whole or in part, to a successor in interest, by operation of law, or to an affiliate without the prior written consent of the User.

18. Notices

All notices or other communications pursuant to these Terms shall be deemed valid and sufficient if delivered by email to the address provided by the User through the Platform. Notices sent via email shall be deemed received on the day they are sent if that day is a business day, and otherwise on the next business day, provided no “bounce back” or failure notice is received.

19. Ownership of the Platform and Its Design

The Platform — including its design, layout, structure, the selection, arrangement, and sequence of its content and features, its "look and feel," and all text, graphics, logos, images, and software that make it up — is owned by Arizona Workshop Directory or its licensors and is protected by copyright, trademark, and other intellectual property laws. As between you and Arizona Workshop Directory, Arizona Workshop Directory owns all rights in the Platform and its design.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform to discover Providers and Workshops for your own non-commercial use. This license does not permit you to, and you agree not to, copy, reproduce, republish, imitate, frame, mirror, or create any website, directory, or service that copies or is substantially similar to the design, layout, arrangement, or look and feel of the Platform, in whole or in part, without our prior written permission.

All rights not expressly granted to you are reserved by Arizona Workshop Directory. Any unauthorized use of the Platform or its design automatically terminates the license granted above, and Arizona Workshop Directory may pursue all available remedies, including the injunctive relief described in Section 14.

20. Copyright Complaints and DMCA Notices

Arizona Workshop Directory respects the intellectual property rights of others and responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"). If you believe that content on the Platform infringes a copyright you own or control, please send a written notice to Arizona Workshop Directory’s designated agent at contact@arizonaworkshopdirectory.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it on the Platform; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf. Arizona Workshop Directory may remove or disable access to material claimed to be infringing and may, in appropriate circumstances, terminate the accounts or listings of those who repeatedly infringe.

21. Headings

The headings used in these Terms are for convenience only and shall not control or affect the meaning or construction of any provision of these Terms.
